between you and Multimatic, Inc. ("MULTIMATIC") you are only authorized
to view and download the materials at this Site for your internal,
non-commercial use, provided that you retain all copyright and other
proprietary notices contained in the original materials or any copies
of the materials. Except as specifically provided in an Agreement, you
may not modify the materials at this Site in any way or reproduce or
publicly display, perform, or distribute, copy, transmit, publish,
license, create derivative works from, transfer or sell or otherwise
use them for any public or commercial purpose. For the purposes of
these Terms, any use of these materials on any (i) Web site other than
the Site or (ii) networked computer environment, for any purpose not
specifically contemplated in an Agreement is prohibited. The materials
at this Site are copyrighted and any unauthorized use of any materials
at this Site may violate copyright, trademark, and other laws. If you
breach any of these Terms, your authorization to access and use this
Site automatically terminates and you must immediately destroy any
downloaded or printed materials.
Indemnity. You agree to defend,
indemnify and hold MULTIMATIC, its employees, directors, third party
service providers and affiliated entities harmless from and against any
and all liabilities, costs and expenses including reasonable attorneys'
fees, related to any violation of these Terms by you or in connection
with your use of this Site.
Modification of Terms.
MULTIMATIC may revise these Terms at any time by updating this posting.
Accordingly, you are encouraged to periodically review the Terms.
Subsequent to such modification, your further use of this Site shall be
deemed to constitute acceptance by you of the modified Terms. Certain
provisions of these Terms may be superseded by expressly designated
legal notices or terms located on particular pages at this Site.
Severability. If any provision
of these Terms is invalid or unenforceable under applicable law, then
it shall be, to that extent, deemed omitted and the remaining
provisions will continue in full force and effect.
Entire Agreement. Unless
specifically provided herein, these Terms constitute the entire
agreement between you and MULTIMATIC with respect to your use of this
Site. There are no representations, warranties, conditions or other
agreements, express or implied, statutory or otherwise, between the
parties in connection with the use of this Site except as specifically
set forth in an Agreement. If there is any conflict or inconsistency
between these Terms and the provisions of an Agreement between you and
MULTIMATIC, the provisions of the Agreement shall govern.
Termination. Your authorization
to access and use this Site shall automatically terminate if you are in
breach of any of the provisions contained herein. Unless otherwise
specified in an Agreement, MULTIMATIC reserves the right, in its sole
discretion, to terminate your access to this Site and the related
services or any portion thereof at any time, without notice.
Language. "The parties hereto
confirm their express wish that this Agreement, as well as all other
documents related hereto, including notices, be drawn up in the English
language only and declare themselves satisfied therewith; les parties
